Terms & Conditions of Sale

These terms and conditions of sale (the “TCS”) apply to ACL Voice SaaS subscription offerings intended for hospitality professionals. They are addressed exclusively to professional customers (B2B). Specific terms set out in a quotation, purchase order, subscription agreement or order form prevail over these TCS in the event of a conflict, in accordance with the order of precedence set out below. Amounts, durations, notice periods and refund rules that have not yet been defined appear as placeholders.

Scope of application

These TCS govern the subscription to and provision of the ACL Voice service: the AI-powered voice receptionist platform, associated features, support according to the chosen offering, and any optional add-ons. They do not apply to relationships with the hotel’s callers, which remain the hotel’s responsibility.

The customer represents that it is acting as a professional. Consumer-protection rules do not apply, except where the law makes them mandatory in a particular case.

Commercial offerings and subscription plans

ACL Voice may offer different subscription plans (for example according to usage volume, call minutes, number of properties or support level). Descriptions communicated commercially, including on request via the Contact page, are indicative and may be updated. They become binding only when restated in an accepted contractual document.

The precise characteristics of the subscribed offering, including any usage limits ([USAGE LIMITS]), are those of the contract, quotation or plan actually subscribed.

ACL Voice may refuse an order, condition access on an onboarding process, or propose a quotation-based offering, in particular for specific requirements.

Prices, taxes and VAT

The applicable prices are those stated in the contractual document in force on the date of the order or renewal. They are understood as [PRICES EXCL. OR INCL. VAT], as specified in the offering.

Unless otherwise stated, prices do not include VAT or other applicable taxes, which are added at the rate in force. The customer’s VAT number, where applicable, is to be provided by the customer. ACL Voice’s VAT number is: FR59845388222.

Prices may be expressed according to usage (periodic subscription, options, overages). No numerical tariff is fixed by these TCS.

Billing and payment

Billing and payment terms are those provided in the contract or offering: [BILLING CYCLE], [PAYMENT TERMS], [PAYMENT METHODS].

Unless otherwise stipulated, invoices are due in accordance with [PAYMENT TERMS]. Failure to pay may give rise to late-payment interest at the rate of [LATE PAYMENT RATE], as well as a fixed recovery indemnity where French law so requires between professionals, without prejudice to suspension of the service.

The customer agrees to provide accurate billing information and to notify any change (legal name, billing address, legal notices).

Term, renewal and termination

The initial subscription term is: [SUBSCRIPTION TERM]. Unless otherwise stipulated, the subscription renews for a term of: [RENEWAL TERM], in accordance with the renewal conditions: [RENEWAL CONDITIONS].

The customer may terminate the subscription in accordance with the following terms: [CANCELLATION CONDITIONS], subject to a notice period of: [NOTICE PERIOD].

ACL Voice may terminate the contract in the event of a material breach not remedied within [CURE PERIOD], for non-payment, for a legitimate security reason, or in the other cases provided in the contract.

The durations, notice periods and renewal rules above must be completed from the actual commercial policy. They must not be invented for publication.

Suspension for non-payment

In the event of late payment, ACL Voice may, after informing the customer and in accordance with [SUSPENSION NOTICE], suspend all or part of the service until the account is regularised. Suspension does not release the customer from amounts due.

Restoration of the service may be conditioned on payment of arrears and, where applicable, reactivation fees: [REACTIVATION FEES].

Service evolution and usage limits

ACL Voice may evolve the service, plans and features, in particular for technical, security or product reasons. Where a material change significantly reduces the substance of the subscribed offering, the customer may, if the contract so provides, [MATERIAL CHANGE REMEDY].

The customer agrees to comply with the usage limits of its plan ([USAGE LIMITS]). An overage may give rise to additional billing in accordance with [OVERAGE TERMS], or to an invitation to subscribe to a higher plan, without the service necessarily being interrupted during a call in progress.

Dependencies on third-party services

Provision of the service depends in particular on telephony providers, AI technology providers, hosting, and, on the customer side, the hotel’s PMS. Those dependencies may affect availability, voice quality, latency or the ability to create a reservation.

ACL Voice is not required to guarantee an operational result independent of those systems. The limitations of the AI and the PMS are recalled in the AI & Call Policy.

Refunds

Except where a mandatory provision or an express contractual stipulation provides otherwise, amounts paid in respect of a period that has begun are not refundable: [REFUND POLICY].

No automatic refund is provided by these TCS in the event of dissatisfaction, an error in an AI-generated response, or unavailability of the customer’s PMS.

Customer obligations

The customer agrees to: provide the information needed for onboarding; designate authorised contacts; configure the service in good faith; not misuse the service; comply with the Terms of Use; and pay the amounts due.

Intellectual property and confidentiality

Each party remains the owner of its intellectual property rights. The customer acquires only a right to use the service in the context of the subscription.

Each party agrees to keep the other party’s non-public information confidential, for the term of the contract and for [CONFIDENTIALITY PERIOD] after its end, subject to legal exceptions and to information that has become public without fault.

Data protection

Personal-data processing related to the provision of the service is governed by the Privacy Policy and, where applicable, the Data Processing Agreement.

Liability

To the extent permitted by law, ACL Voice’s liability under these TCS is limited to [LIABILITY CAP]. Indirect damage, loss of business, data or goodwill is excluded, unless otherwise stipulated.

This limitation does not apply in cases where liability cannot legally be limited.

Force majeure

The parties are released from their obligations (other than payment obligations already accrued) in the event of force majeure within the meaning of French law, for the duration of the event. If the event continues beyond [FORCE MAJEURE PERIOD], either party may terminate the contract without damages.

End of the contract

Upon termination or expiry, access to the service ceases. Amounts remaining due become immediately payable, except [END OF CONTRACT PAYMENT TERMS]. Return or deletion of personal data follows the DPA.

Applicable law and disputes

These TCS are governed by French law. In the event of a dispute, after an attempt at amicable resolution, jurisdiction is conferred on the courts of Bobigny (France), subject to mandatory rules.
